1 · Introduction & Agreement to Terms

THE SERVICE, WEB APPLICATION AND RELATED SERVICES ARE SUBJECT TO YOUR COMPLIANCE WITH THE TERMS AND CONDITIONS SET FORTH BELOW. IF YOU DO NOT AGREE TO ABIDE BY THESE OR ANY FUTURE TERMS, YOU DO NOT HAVE THE RIGHT TO USE OR ACCESS (OR CONTINUE TO USE OR ACCESS) THE SERVICE. DEALRAISE, LLC (“DealRaise,” “we,” “our”) RESERVES ALL RIGHTS NOT EXPRESSLY GRANTED HEREIN.
By (a) visiting dealraise.com, (b) opening an account, (c) executing any order form, or (d) adding a payment method, you accept and agree to be bound by these Terms.

A. Marketing & Growth Services (month-to-month)

Website & funnel builds, ad management, SEO, email/SMS campaigns, specialist staffing, AI implementation (see § 5 table for rate card).

3 · Eligibility & User Responsibilities

You are at least 18 and can sign contracts.

You use the Services lawfully and in compliance with securities-marketing regulations.
You keep log-in credentials secure and are responsible for all activity in your account.

4 · Referral Partner Terms

Automatic enrolment; no extra paperwork.

Earn 10 % of the referred client’s net monthly fees while their account is active.

Commissions paid monthly; subject to claw-back for fraud, chargebacks, or policy violations.

6 · Cancellation & Refund Policy

Subscriptions

Cancel via email to [email protected] or inside your account

Access continues until the end of the current billing period

Past payments are non-refundable

Must cancel in writing before work starts

Once work begins, payments are non-refundable

Filing a chargeback without first giving DealRaise reasonable opportunity to resolve the issue is a breach of these Terms.

7 · Client Responsibilities

Complete intake forms & onboarding call within 5 business days.

Supply timely approvals within 3 business days of deliverables.

Log in regularly to manage outreach & keep billing information current.

Comply with all applicable advertising and securities laws.

8 · Ghosting Clause (Client Inactivity)

One-time projects: No response for 5 business days after a written reminder → project auto-closes; assets delivered “as-is”; no refunds.

Subscriptions: Fees continue to accrue until you cancel, even if you never schedule onboarding. Fees during inactivity are non-refundable.

9 · Intellectual Property Rights

Client Materials Remain Client-Owned
All brand assets, data, text, images, trademarks, and other content you supply to DealRaise (“Client Materials”) remain 100 % yours. We claim no ownership over anything you provide.

Work Product Becomes Yours on Payment
Upon full payment of the applicable invoice, exclusive ownership of the final, custom deliverables we create specifically for you (e.g., your pitch deck, PPM, website copy, ad creatives) is assigned to you. You may use, modify, or distribute those deliverables as you wish.

DealRaise Pre-Existing IP Stays Ours
Our underlying software, the Investors Platform, frameworks, templates, code snippets, and general know-how (“DealRaise Tools”) remain the sole property of DealRaise. You receive a non-exclusive, non-transferable license to use DealRaise Tools only as incorporated in your paid deliverables and only for your internal business purposes. You may not extract, resell, or sublicense DealRaise Tools themselves.

Mutual Use of Names & Logos
Each party grants the other a limited right to display the other’s name and logo solely for portfolio or testimonial purposes, unless either party requests in writing that its marks not be used.

No Implied Rights
Except for the rights expressly granted above, neither party grants the other any license or ownership interest under any intellectual-property law.

10 · Privacy & Data Collection

See the DealRaise Privacy Policy for how we collect, use, and protect personal data. By using the Services you consent to those practices.

11 · Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE.” DealRaise disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that marketing, lead-gen, or fundraising efforts will yield any specific result.

12 · Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALRAISE’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED (A) THE FEES YOU PAID US IN THE PRECEDING SIX (6) MONTHS OR (B) USD $ 100, WHICHEVER IS GREATER. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13 · Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Any dispute that remains unresolved after 30 days of good-faith negotiation shall be finally settled by binding arbitration under the JAMS Streamlined Arbitration Rules, conducted in Laramie County, Wyoming. Each party will bear its own attorneys’ fees, and arbitration costs will be split 50/50.

14 · Indemnification

You agree to defend, indemnify, and hold harmless DealRaise, its officers, directors, employees, and agents from any claims, losses, or expenses (including reasonable attorneys’ fees) arising out of your (a) misuse of the Services, (b) breach of these Terms, or (c) violation of any law or third-party right.

15 · Modifications to Terms

DealRaise may update these Terms at any time. Material changes will be emailed to the address on file or posted on the website. Continued use of the Services after the effective date constitutes acceptance.

16 · Consent Acknowledgement

By signing a contract, checking a consent box, or adding a payment card, you confirm that you have read, understood, and agreed to these Terms, including the Cancellation & Refund Policy and Ghosting Clause.
